Terms of Service

Welcome to Vigilfield. These Terms of Service ("Terms") govern your access to and use of the Vigilfield platform, services, and website (collectively, the "Service") operated by Rehashly, Inc. ("Rehashly," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Description of Service
Vigilfield provides a cloud-based security analytics platform that enables customers to extract, store, and query security log data from their AWS environments. The Service includes log extraction, data storage, VFQL-based querying capabilities, and related features as described on our website.
2. Eligibility and Account Registration
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. When creating an account, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. Subscription and Billing
3.1 Subscription Plans
Access to the Service requires a paid subscription. Subscription plans, pricing, and included features are described on our pricing page and may be updated from time to time. Your subscription will automatically renew at the end of each billing period unless you cancel prior to renewal.
3.2 Usage-Based Billing
Certain aspects of the Service are billed based on usage, including data ingestion, query scanning, and storage. Usage is measured and billed according to the metrics described in your subscription plan. You are responsible for monitoring your usage and understanding how charges accrue.
3.3 Payment Terms
All fees are due in advance and are non-refundable except as expressly stated in these Terms. We reserve the right to suspend or terminate your access to the Service for non-payment. Disputed charges must be reported within thirty (30) days of the billing date.
4. Customer Data
4.1 Ownership
You retain all ownership rights to the data you submit to the Service ("Customer Data"). By using the Service, you grant Rehashly a limited license to process, store, and transmit Customer Data solely as necessary to provide the Service and as described in our Privacy Policy.
4.2 Customer Responsibilities
You are solely responsible for: (a) the accuracy, quality, and legality of Customer Data; (b) ensuring you have all necessary rights and permissions to submit Customer Data to the Service; (c) configuring appropriate access controls and permissions within the Service; and (d) maintaining backups of your original source data. The Service is not a backup service and does not guarantee data recovery.
4.3 Data Encryption
Customer Data is encrypted at rest using customer-managed AWS KMS keys where configured. You are responsible for managing your encryption keys in accordance with your security policies. If you revoke or delete your KMS key, your data may become permanently inaccessible, and Rehashly shall have no liability for such data loss.
4.4 Data Retention and Deletion
Customer Data is retained according to the retention settings configured in your account or as specified in your subscription plan. Upon termination of your account, we will delete your Customer Data within ninety (90) days, unless longer retention is required by law or you request earlier deletion.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Submit or process data that you do not have the right to collect, process, or transfer
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit malicious code or malware
- Resell, sublicense, or provide access to the Service to third parties without our consent
- Use the Service in a manner that exceeds reasonable usage patterns or imposes an unreasonable load on our infrastructure
6. Service Availability and Support
6.1 Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our reasonable control. We will make reasonable efforts to provide advance notice of planned maintenance when possible.
6.2 No Service Level Guarantee
UNLESS OTHERWISE SPECIFIED IN A SEPARATE WRITTEN AGREEMENT, THE SERVICE IS PROVIDED WITHOUT ANY SERVICE LEVEL AGREEMENT (SLA) OR UPTIME GUARANTEE. We do not commit to any specific level of availability, response time, or performance. Any uptime statistics or targets mentioned in marketing materials are goals, not guarantees.
6.3 Support
Support availability varies by subscription plan. We provide support on a reasonable efforts basis and do not guarantee response times unless specified in a separate enterprise agreement.
7. Intellectual Property
The Service, including all software, features, documentation, and content (excluding Customer Data), is owned by Rehashly and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription term. All rights not expressly granted are reserved.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties except as necessary to perform under these Terms or as required by law. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
Rehashly does not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from use of the Service will be accurate or reliable; (d) any errors in the Service will be corrected; or (e) the Service will detect all security threats or prevent all security incidents.
YOU ACKNOWLEDGE THAT THE SERVICE IS A TOOL TO ASSIST WITH SECURITY INVESTIGATIONS AND IS NOT A SUBSTITUTE FOR PROFESSIONAL SECURITY EXPERTISE, INCIDENT RESPONSE SERVICES, OR COMPREHENSIVE SECURITY PROGRAMS. REHASHLY IS NOT RESPONSIBLE FOR ANY SECURITY INCIDENTS, DATA BREACHES, OR LOSSES THAT OCCUR IN YOUR ENVIRONMENT.
10. Limitation of Liability
10.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REHASHLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER REHASHLY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Liability Cap
REHASHLY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO REHASHLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10.3 Basis of the Bargain
The limitations of liability in this section reflect the allocation of risk between the parties and are an essential basis of the bargain between us. The Service would not be provided without these limitations.
11. Indemnification
You agree to indemnify, defend, and hold harmless Rehashly and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; (d) your violation of any applicable laws or regulations; or (e) your violation of any third-party rights.
12. Term and Termination
12.1 Term
These Terms remain in effect until terminated. Your subscription continues for the term specified in your subscription plan and renews automatically unless cancelled.
12.2 Termination by You
You may terminate your subscription at any time through your account settings. Termination will be effective at the end of your current billing period. No refunds will be provided for partial billing periods or unused portions of your subscription.
12.3 Termination by Rehashly
We may suspend or terminate your access to the Service immediately and without notice if: (a) you breach these Terms; (b) you fail to pay fees when due; (c) we are required to do so by law; or (d) we determine, in our sole discretion, that your use poses a risk to the Service or other users. We may also discontinue the Service entirely with thirty (30) days' notice.
12.4 Effect of Termination
Upon termination: (a) your right to use the Service immediately ceases; (b) you remain responsible for all fees incurred prior to termination; and (c) provisions that by their nature should survive termination (including Sections 9, 10, 11, and 14) shall survive.
13. Modifications to Service and Terms
13.1 Service Modifications
We reserve the right to modify, update, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service or any part thereof.
13.2 Terms Modifications
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
14. General Provisions
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
14.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts and waive any objection based on venue or inconvenient forum.
14.3 Force Majeure
Rehashly shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, power outages, internet service provider failures, or third-party service disruptions (including AWS outages).
14.4 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Rehashly regarding the Service and supersede all prior agreements and understandings.
14.5 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
14.6 Waiver
The failure of Rehashly to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.7 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. Rehashly may assign these Terms without restriction.
